1. Agreement to these terms

Team Tools Pro is operated by The Goggin Group, LLC, a Missouri limited liability company ("we," "our," "us"). By creating an account, starting a free trial, or using Team Tools Pro or the Music Stand app, you agree to these terms. If you do not agree, do not use the service.

If you are accepting these terms for a community, church, or organization, you are confirming that you have the authority to bind that organization to this agreement. In that case "you" means both you and that organization.

These terms, together with our Privacy Policy, make up the whole agreement between us.

2. Who can open an account

You must be at least 18 years old. You must give accurate information when you sign up and keep it current. You may not open an account on behalf of someone else without their permission, and you may not open an account if we have previously terminated yours.

3. What the service includes

Team Tools Pro is a cloud-based platform for running three-day retreat ministries. As of the date above, it includes:

  • Community member directory
  • Team roster building and management
  • Candidate and sponsor registration
  • Team meeting check-in
  • Live weekend check-in
  • Weekend and community budget tracking and financial reporting
  • Visual table and seating planner
  • RSVP management for Secuelas, reunions, and community events
  • Presenter tools for lyrics slides and song sheets
  • The Music Stand — chord chart creation, editing, markup, and performance view, including Bluetooth foot pedal support
  • PDF reports and data exports

We add and improve features regularly. We may also change or retire a feature. If we retire something your community depends on, we will give you at least 60 days' notice and a way to export anything stored in it.

4. Your account and your people

You are responsible for everything that happens under your account. That means:

  • Keeping login credentials secure and not sharing them
  • Assigning roles and permissions appropriately — giving someone access is your decision, not ours
  • Removing access promptly when someone leaves a role or your community
  • Telling us right away at support@teamtoolspro.com if you suspect unauthorized access

Leadership turns over every year in most communities. Please hand off account access deliberately rather than passing around a shared password.

5. Acceptable use

Use Team Tools Pro for lawful ministry purposes. Do not:

  • Break any law, or infringe anyone's intellectual property or privacy rights
  • Upload malware, or attempt to probe, scan, or breach our systems
  • Try to access another community's data
  • Reverse engineer, decompile, or copy the software
  • Resell, sublicense, or white-label the service without our written agreement
  • Use automated tools to scrape data or place unreasonable load on our systems
  • Use the service to send unsolicited bulk email
  • Harass anyone, or store information intended to harm or intimidate someone
  • Enter or store information about anyone under 18 — Team Tools Pro does not support youth programs, and this is a condition of use, not a preference. See our Privacy Policy.

6. Your data belongs to you

Everything your community enters — member records, rosters, applications, budgets, RSVPs, charts, and set lists — remains your community's property. We claim no ownership of it.

You grant us a limited license to store, copy, transmit, back up, and display that data, solely so we can operate the service for you. That license ends when you delete the data or close your account, except for encrypted backups that rotate out over up to 90 days.

You can export your data at any time, in a usable format, without asking our permission.

7. Worship content, lyrics, and chord charts

Please read this section carefully. It is the part of this agreement most likely to matter to you, and it is the part most often ignored.

The presenter tools and the Music Stand let you create and display lyrics slides, song sheets, and chord charts. Most contemporary worship music is protected by copyright. Displaying lyrics on a screen, printing song sheets, and reproducing chord charts are all uses that generally require permission from the copyright owner.

Team Tools Pro is a tool, not a license. We do not supply, clear, or include any music licensing. We provide no catalog of licensed songs. Giving you software that can display lyrics is not the same as giving you the right to display them, any more than selling someone a photocopier licenses them to copy a book.

What you are agreeing to

By uploading, entering, or displaying any song lyrics, chord chart, sheet music, arrangement, recording, or other third-party content, you represent and warrant that:

  • You hold all licenses, permissions, and rights needed for that use, or
  • The content is in the public domain, or
  • The content is your own original work, or
  • Your use is otherwise lawful

In practice, most communities meet this through a blanket license. The common ones in the United States are CCLI (Christian Copyright Licensing International), OneLicense, and Christian Copyright Solutions. Which you need depends on the songs you use and how you use them. Note that a basic CCLI church copyright license and a CCLI streaming license cover different things, and that a license held by a member's home church does not automatically extend to your Tres Dias or Emmaus community as a separate organization.

If you are not sure whether your community is covered, find out before your next weekend. This is genuinely worth a phone call to CCLI.

What we are not responsible for

You are solely responsible for the licensing of content you put into the service, and for any claim arising from it. We do not monitor or review your content for copyright compliance, and we have no obligation to do so. If a copyright owner brings a claim against you over content you stored or displayed through Team Tools Pro, that claim is yours to answer, and section 16 applies.

Your content stays yours

Chord charts and arrangements you create yourself remain your own work. We claim no ownership and we will not reuse, publish, or distribute your charts. We store them and show them to the people in your community you have given access to. That is all.

8. Copyright complaints

If you believe content stored in Team Tools Pro infringes your copyright, send a written notice to our designated agent with:

  • Identification of the copyrighted work
  • Identification of the material you say is infringing, specific enough for us to find it
  • Your name, address, telephone number, and email address
  • A statement that you have a good faith belief the use is not authorized
  • A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf
  • Your physical or electronic signature

Designated agent: Philip Goggin, Owner, The Goggin Group, LLC

We will remove or disable access to material that is the subject of a valid notice, and we will notify the account holder. Accounts that repeatedly infringe will be terminated. If you believe your content was removed in error, you may send a counter-notice.

[ACTION: to get the legal protection this section is designed to provide, you must register a DMCA designated agent with the U.S. Copyright Office. It is an online form and a $6 fee at dmca.copyright.gov, renewable every three years. Without registration, this section is far weaker than it looks.]

9. Your responsibility for member information

When your community enters information about its members, your community — not us — is the one responsible for that information under privacy law. That means you are responsible for:

  • Having a lawful basis to collect and store the information
  • Telling your members what you collect and why, where the law requires it
  • Obtaining consent where consent is required
  • Collecting only what you actually need
  • Honoring your members' requests to see, correct, or remove their information
  • Keeping access limited to leaders who need it

We hold and process that information on your instruction. We will help you respond to a member's request, but the decision is yours. Our Privacy Policy explains this division in more detail.

If your community needs a formal data processing agreement — some larger denominations and any European community will — email us and we will provide one.

10. Subscriptions, trial, and payment

Free trial. New accounts get 60 days of full access. No credit card required. When the trial ends, your account becomes read-only until you subscribe — your data is not deleted.

Subscription. Team Tools Pro is sold per community, on one of two plans:

  • Annual — $350 per year, paid at the start of each year
  • Monthly — $35 per month, paid at the start of each month

Both plans include every feature. You may switch between them at any renewal.

Renewal. Both plans renew automatically — annually or monthly — unless you cancel before the renewal date. For annual plans we email a reminder at least 30 days before renewal. Monthly plans renew without a reminder each month, as you would expect.

Price changes. We may change pricing, but never in the middle of a period you have already paid for. For annual plans we will give at least 60 days' notice before a change takes effect at renewal. For monthly plans we will give at least 30 days' notice. Either way you will have time to decide before you are charged.

Late or failed payment. If payment fails we will try again and email you. If it remains unpaid for 14 days, your account moves to read-only until it is resolved.

Taxes. Prices do not include any applicable sales or use tax, which is your responsibility where it applies.

11. Cancellation and refunds

You may cancel at any time, and you keep access through the end of the period you have already paid for — the rest of the year on an annual plan, the rest of the month on a monthly one. We do not prorate refunds for a partial period.

Cancelling a monthly plan stops the next charge. It does not end your access that day.

After cancellation your account is read-only for 90 days so you can export your data. After that we may delete it permanently. If you need more time, ask us before the 90 days are up and we will work with you.

If something goes seriously wrong on our end early in a subscription term, email us. We would rather make it right than hold your money over a technicality.

12. The Music Stand app

The Music Stand is our iPad application for worship teams. These terms apply to it as well as to the web app. A few provisions apply specifically to the version downloaded from Apple's App Store:

  • This agreement is between you and us only. It is not with Apple, and Apple is not a party to it.
  • We, not Apple, are solely responsible for the app and its content.
  • Apple has no obligation to provide any maintenance or support for the app.
  • If the app fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price, if any. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app.
  • We, not Apple, are responsible for addressing any claim that the app or your use of it fails to meet a legal or regulatory requirement, or arises under product liability or consumer protection law.
  • We, not Apple, are responsible for investigating and defending any third-party claim that the app infringes intellectual property rights.
  • You confirm you are not located in a country subject to a U.S. Government embargo, and are not on any U.S. Government prohibited-party list.
  • Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you.

Your license to the app is personal to your community, non-transferable, and limited to devices you own or control, as permitted by the App Store Terms of Service.

Bluetooth accessories. The app supports Bluetooth foot pedals for page turning. We do not manufacture, sell, endorse, or warrant any pedal. Compatibility with a particular model is not guaranteed, and we are not responsible for a third-party accessory failing during a service.

13. Service availability and support

We work hard to keep Team Tools Pro available, especially during weekends when communities depend on it. We do not, however, guarantee uninterrupted access, and we do not offer a formal uptime guarantee at this price point.

We perform maintenance when we must, and we schedule it outside typical weekend hours whenever we can. For anything likely to cause noticeable downtime, we will give advance notice.

Support is by email at support@teamtoolspro.com. We aim to respond within one business day, and faster if your weekend is in progress — tell us in the subject line if you are live.

14. Disclaimer of warranties

Team Tools Pro is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the service will be uninterrupted, error-free, or secure against every possible threat, or that any defect will be corrected. We do not warrant that the service will meet your particular requirements.

In plain terms: this is good software built with care, and it is not infallible. Keep your own exports. Do not let Team Tools Pro be the only place your community's records exist.

15. Limitation of liability

To the fullest extent permitted by law:

We are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising out of or relating to your use of the service — even if we were told such damages were possible.

Our total cumulative liability for all claims relating to the service is limited to the amount you actually paid us in the 12 months before the event giving rise to the claim. If you are on a free trial and have paid nothing, our liability is limited to $100.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing here limits liability for fraud, willful misconduct, gross negligence, or anything else that cannot be limited by law.

16. Indemnification

You agree to defend, indemnify, and hold us harmless from any claim, loss, liability, damage, or expense, including reasonable legal fees, arising out of:

  • Content you upload or display, including any claim that it infringes copyright or other rights — see section 7
  • Your handling of member information, including any claim by a member or regulator about how your community collected or used it
  • Your violation of these terms or of any law
  • Anyone you gave account access to misusing the service

We will notify you of any such claim and may participate in the defense at our own expense.

17. Our intellectual property

The Team Tools Pro software, design, name, logo, and documentation are ours and are protected by copyright and trademark law. Your subscription gives you a limited, non-exclusive, non-transferable right to use the service. It does not transfer any ownership.

You may not copy, modify, distribute, sell, or lease any part of the service, or reverse engineer it to build a competing product.

If you send us a suggestion or feature idea — and we hope you do — we may use it without obligation or payment. We will not claim you did not think of it.

18. Suspension and termination

You may close your account at any time.

We may suspend or terminate an account that violates these terms, that is being used unlawfully, or that threatens the security or stability of the service. Where it is practical and appropriate we will warn you first and give you a chance to fix the problem. For a serious violation — attacking our systems, or using the service to harm someone — we may act immediately.

If we terminate your account for reasons other than your violation of these terms, we will refund the unused portion of your subscription.

On termination, your right to use the service ends. Sections 6, 7, 8, 9, 14, 15, 16, 17, 20, and 21 survive.

19. Changes to the service and these terms

We may update these terms as the service changes or the law does. When we do, we will change the "Last updated" date above.

For a material change — one that meaningfully affects your rights or obligations — we will email account holders at least 30 days before it takes effect. Continuing to use the service after that date means you accept the new terms. If you do not accept them, you may cancel and we will refund the unused portion of your current term.

20. Governing law and disputes

These terms are governed by the laws of the State of Missouri, without regard to its conflict-of-laws rules.

Talk to us first. Before filing anything, email support@teamtoolspro.com describing the problem and what you want. We will do the same with you. Most disputes between reasonable people get resolved this way, and we would both rather spend the money on something else. Give it 30 days.

If that fails, any dispute will be brought exclusively in the state or federal courts located in St. Francois County, Missouri, and both of us consent to the jurisdiction of those courts.

[DECISION NEEDED: whether to add a binding arbitration clause and a class-action waiver here instead of court. Most SaaS companies do; it is usually cheaper for you if you are ever sued, but it has real trade-offs and consumer-protection rules vary by state. This is a question for your attorney, not for me.]

21. General provisions

Entire agreement. These terms and the Privacy Policy are the complete agreement between us and replace any earlier understanding.

Severability. If a provision is found unenforceable, the rest stays in force and that provision is limited to the minimum extent necessary.

No waiver. If we do not enforce a provision immediately, we have not given up the right to enforce it later.

Assignment. You may not assign this agreement without our written consent. We may assign it in connection with a merger, acquisition, or sale of the business, with notice to you.

Force majeure. Neither of us is liable for failure to perform due to causes beyond reasonable control — natural disaster, war, labor dispute, widespread internet or power failure, or the failure of a major infrastructure provider.

Relationship. Nothing here creates a partnership, joint venture, employment, or agency relationship between us.

Notices. We will send notices to the email on your account. Please keep it current. You can send notices to us at the addresses below.
